Terms of Use
1. Acceptance of Terms
These Terms of Use (these "Terms") constitute a legally binding agreement by and between you ("you" or "your") and RigX ("RigX," "we," "us," or "our") governing your access to and use of the website located at rigx.app, together with any subdomains thereof, the waitlist, and all related features, functionality, content and services (collectively, the "Service"). By accessing, browsing or otherwise using the Service, or by submitting any information through the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by the RigX Privacy Policy, which is incorporated herein by reference. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO, AND MUST NOT, ACCESS OR USE THE SERVICE.
2. Capacity and Authority
By accessing or using the Service, you represent and warrant that you have the full legal right, power, capacity and authority to enter into, and to perform your obligations under, these Terms. If you access or use the Service on behalf of a company, organization or other legal entity, you further represent and warrant that you are duly authorized to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.
3. Pre-Release Service; Waitlist; Founding Member Designation
(a) Pre-Release Service. The Service is provided on a pre-release, developmental basis. RigX may, in its sole and absolute discretion and without notice or liability to you, modify, suspend, limit or discontinue the Service, or any feature or portion thereof, at any time and for any reason. The Service may be unavailable, interrupted or subject to errors from time to time, and certain features described on the Service are prospective in nature and are not presently available.
(b) Waitlist. Submission of your information to the waitlist shall not create, and shall not be construed to create, any right, entitlement or expectation of access to the Service, nor any obligation on the part of RigX to provide access to the Service at any time, on any terms, or at all.
(c) Founding Member Designation. Any designation of you as a "Founding Member," and any badge, title, recognition or other benefit associated therewith (collectively, a "Designation"), is extended as a gratuitous accommodation, at the sole and absolute discretion of RigX, and may be modified, suspended or revoked at any time, for any reason or no reason, without notice or liability. A Designation is personal to you, is non-transferable, has no monetary or cash value, and does not constitute consideration of any kind. Without limiting the foregoing, a Designation does not confer, and shall not be construed to confer, upon you any right, title or interest whatsoever, whether legal, equitable, contractual or otherwise, in or to RigX, the Service, or any of their respective assets, including without limitation any ownership, equity, membership, partnership, profits or revenue interest, security, option or other right to acquire any of the foregoing, or any right, title, license or interest in or to any intellectual property, technology, data, trademarks, trade names or goodwill of RigX. No fiduciary, agency, partnership, joint venture or employment relationship is created by any Designation or by your use of the Service.
4. Informational Content; No Professional Advice
All vehicle specifications, parts information, pricing, fitment data, trail and map data, and other information made available through the Service (collectively, "Informational Content") is provided solely for general informational purposes. RigX makes no representation or warranty as to the accuracy, completeness, timeliness or reliability of any Informational Content, which may be incomplete, inaccurate or outdated. Pricing reflects a third-party seller's listed price as of the date indicated and is subject to change without notice. Informational Content does not constitute, and shall not be relied upon as, professional, mechanical, engineering, legal or safety advice. You are solely responsible for independently verifying all fitment, load ratings, specifications and pricing with the applicable manufacturer or seller prior to purchasing, installing or otherwise relying upon any product or information, and any such reliance is strictly at your own risk.
5. Assumption of Risk; Off-Road Activities
(a) You acknowledge and agree that off-road driving, overlanding, vehicle modification, recovery operations and related outdoor activities (collectively, "Off-Road Activities") are inherently hazardous and involve risks of serious bodily injury, death, and damage to or loss of vehicles and other property, including risks arising from terrain, weather, wildlife, remoteness, mechanical failure, equipment failure, improper installation, the acts or omissions of third parties, and your own acts or omissions.
(b) Any trail, route, map, distance, elevation or other geographic information made available through the Service is provided solely for general reference and record-keeping purposes, is not intended for and shall not be used for navigation, and may be inaccurate, incomplete or out of date. Trail conditions, closures, access rights and applicable regulations change without notice.
(c) You are solely responsible for (i) assessing and verifying current conditions, closures, permits and applicable laws, regulations and land-use restrictions; (ii) carrying appropriate navigation, communication, safety and recovery equipment; (iii) operating your vehicle within its rated capacities and your own abilities; and (iv) your own safety and the safety of your passengers and others.
(d) YOU KNOWINGLY, VOLUNTARILY AND EXPRESSLY ASSUME ALL RISKS, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, ARISING OUT OF OR RELATING TO ANY OFF-ROAD ACTIVITY, ANY PRODUCT, PART OR MODIFICATION, OR ANY OTHER ACTIVITY UNDERTAKEN IN CONNECTION WITH OR IN RELIANCE UPON THE SERVICE, AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE AND FOREVER DISCHARGE THE RIGX PARTIES (AS DEFINED IN SECTION 10) FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES AND CAUSES OF ACTION ARISING THEREFROM.
6. Acceptable Use
You agree to access and use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you shall not, and shall not attempt to, directly or indirectly: (a) access or attempt to access any portion of the Service, account, garage, database, system or network that you are not authorized to access, including by guessing, harvesting or circumventing passwords or other credentials; (b) use any robot, spider, scraper, crawler or other automated means, process or device to access, monitor, copy, index or submit information to the Service, including to create automated, bulk or fictitious waitlist submissions; (c) submit false, misleading or impersonating information, or information of any person without that person's authorization; (d) interfere with, disrupt, overburden or impair the integrity, security or performance of the Service or any server, network or infrastructure associated with it, including by introducing any virus, malware or other harmful code; (e) circumvent, disable or otherwise interfere with any security, anti-abuse, rate-limiting or verification feature of the Service; (f) copy, reproduce, modify, adapt, translate, create derivative works of, frame, mirror, distribute, sell, license or otherwise commercially exploit the Service or any portion thereof, except as expressly permitted herein; (g) decompile, disassemble, reverse engineer or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent such restriction is prohibited by applicable law; (h) remove, alter or obscure any proprietary notice of RigX or its licensors; (i) use the Service in violation of any applicable law, regulation or third-party right, including any intellectual property, privacy or publicity right; or (j) assist, encourage or enable any third party to do any of the foregoing. RigX reserves the right, in its sole discretion and without notice or liability, to investigate any suspected violation of this Section and to take any action it deems appropriate, including removing waitlist submissions and restricting or terminating access to the Service.
7. Intellectual Property; User Content
(a) Ownership. The Service and all content, software, code, designs, text, graphics, images, video, audio, compilations, data, the "look and feel" of the Service, and all trademarks, service marks, trade names, logos and trade dress therein, including without limitation the RIGX name and logo (collectively, the "RigX Materials"), are and shall remain the sole and exclusive property of RigX and its licensors, and are protected by United States and international copyright, trademark, trade secret and other intellectual property and proprietary rights laws. All rights not expressly granted herein are reserved by RigX and its licensors.
(b) Limited License. Subject to your continued compliance with these Terms, RigX grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to access and view the Service solely for your personal, non-commercial use. No other license or right, express or implied, by estoppel or otherwise, is granted to you under these Terms.
(c) User Content. To the extent the Service permits you to submit, upload, publish or otherwise make available any information, photographs, videos, records or other content (collectively, "User Content"), you retain any ownership rights you hold in your User Content. You hereby grant RigX a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable and transferable license to host, store, reproduce, process, adapt, display, perform and distribute your User Content solely in connection with operating, providing, maintaining and improving the Service. You represent and warrant that you own or have obtained all rights, licenses, consents and permissions necessary to grant the foregoing license, and that your User Content does not and will not infringe, misappropriate or violate any third-party right or applicable law.
(d) Feedback. If you provide RigX with any suggestions, ideas, comments or other feedback regarding the Service ("Feedback"), you hereby grant RigX a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable and transferable license to use, exploit and incorporate such Feedback for any purpose, without compensation, attribution or obligation to you.
(e) Third-Party Data. Certain map data is derived from OpenStreetMap and is made available under the Open Database License (ODbL), © OpenStreetMap contributors. Other third-party materials are identified and attributed where used, and remain subject to their respective licenses.
8. Third-Party Websites, Products and Services
The Service may reference, display information about, or contain links to third-party websites, products, services, manufacturers and sellers (collectively, "Third-Party Services"). Third-Party Services are not under the control of RigX, and RigX does not endorse, sponsor, recommend or assume any responsibility or liability for any Third-Party Services, including their availability, accuracy, content, products, pricing, warranties, terms of use or privacy practices. Any reference to a Third-Party Service is provided solely as a convenience. Your access to and use of any Third-Party Service, and any transaction you enter into with any third party, is solely between you and such third party and is at your own risk. RigX may, in certain instances, receive compensation in connection with references to Third-Party Services; where it does, RigX will disclose such compensation in proximity to the applicable reference.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, INFORMATIONAL CONTENT, FEATURES AND MATERIALS MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. RIGX EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, RIGX DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS; THAT ANY DEFECTS WILL BE CORRECTED; THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY INFORMATIONAL CONTENT IS ACCURATE, COMPLETE OR RELIABLE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM RIGX OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
10. Limitation of Liability
(a) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RIGX, ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE FOUNDERS, OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS OR ASSIGNS (COLLECTIVELY, THE "RIGX PARTIES") BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, PROPERTY DAMAGE, VEHICLE DAMAGE, PERSONAL INJURY OR DEATH, ARISING OUT OF OR RELATING TO (I) THESE TERMS; (II) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE; (III) ANY INFORMATIONAL CONTENT; (IV) ANY PRODUCT, PART OR MODIFICATION PURCHASED, INSTALLED OR UNDERTAKEN IN RELIANCE ON THE SERVICE; (V) ANY TRIP, ROUTE OR OFF-ROAD ACTIVITY UNDERTAKEN IN CONNECTION WITH THE SERVICE; (VI) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, OR ANY THIRD-PARTY WEBSITE, PRODUCT OR SERVICE; (VII) ANY UNAUTHORIZED ACCESS TO, OR ALTERATION, LOSS OR DISCLOSURE OF, YOUR INFORMATION OR TRANSMISSIONS; OR (VIII) ANY OTHER MATTER RELATING TO THE SERVICE, IN EACH CASE WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT ANY RIGX PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE RIGX PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ZERO U.S. DOLLARS (US $0.00). YOU ACKNOWLEDGE THAT THE SERVICE IS PROVIDED TO YOU FREE OF CHARGE, AND THAT THE FOREGOING LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND RIGX.
(c) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITIES. IN SUCH JURISDICTIONS, THE LIABILITY OF THE RIGX PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
11. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify and hold harmless the RigX Parties from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, penalties, fines, costs and expenses (including reasonable attorneys' fees and costs) of any kind or nature arising out of or relating to: (a) your access to or use of the Service; (b) any Off-Road Activity, or any product, part or modification purchased, installed or undertaken by you; (c) any User Content or Feedback you submit; (d) your breach or alleged breach of these Terms or of any representation or warranty herein; (e) your violation of any applicable law, regulation or third-party right; or (f) your negligence or willful misconduct. RigX reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate fully with RigX in asserting any available defenses. You shall not settle any such matter without the prior written consent of RigX.
12. Governing Law; Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
(a) Governing Law. These Terms, and any dispute, claim or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles, and, to the extent applicable, the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the "FAA").
(b) Informal Resolution. Before commencing any arbitration or court proceeding, you and RigX each agree first to attempt to resolve any dispute informally. The party asserting a dispute shall send the other a written notice describing the nature and basis of the dispute and the relief sought. Notices to RigX shall be sent to [email protected]. If the dispute is not resolved within thirty (30) days after receipt of such notice, either party may commence arbitration in accordance with this Section.
(c) Agreement to Arbitrate. Except as provided in Section 12(e), you and RigX agree that any and all disputes, claims or controversies arising out of or relating to these Terms, the Service, or the relationship between you and RigX, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether arising before or after your acceptance of these Terms (each, a "Dispute"), shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitrator shall have exclusive authority to resolve any Dispute, including any dispute relating to the interpretation, applicability, enforceability or formation of this agreement to arbitrate, except as set forth in Section 12(d). Unless you and RigX agree otherwise, any hearing shall take place by videoconference or, if in person, in the county of your residence or in Los Angeles County, California. Judgment on the award may be entered in any court of competent jurisdiction. Payment of AAA filing, administration and arbitrator fees shall be governed by the AAA's rules.
(d) Class Action and Jury Trial Waiver. YOU AND RIGX AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class, collective or representative proceeding, and may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. YOU AND RIGX EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY. If this Section 12(d) is found to be unenforceable with respect to any claim, then such claim (and only such claim) shall be severed and litigated in the courts specified in Section 12(f), and shall be stayed pending completion of arbitration of any remaining claims.
(e) Exceptions. Notwithstanding the foregoing, (i) either party may bring an individual action in small claims court if the claim qualifies and remains in such court; and (ii) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of its intellectual property rights or the unauthorized access to or interference with the Service.
(f) Venue. To the extent any Dispute is permitted to proceed in court rather than in arbitration, you and RigX consent to the exclusive jurisdiction of, and venue in, the state and federal courts located in Los Angeles County, California, and waive any objection based on inconvenient forum.
(g) Right to Opt Out. You may opt out of the agreement to arbitrate in Section 12(c) by sending written notice of your decision to opt out to [email protected] within thirty (30) days after you first accept these Terms. Your notice must include your name and the email address you submitted to the Service, and must clearly state that you wish to opt out of arbitration. Opting out shall not affect any other provision of these Terms.
(h) Limitation on Time to Bring Claims. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH DISPUTE IS PERMANENTLY BARRED.
13. Suspension and Termination
RigX may, in its sole and absolute discretion, at any time, for any reason or no reason, and with or without notice, suspend, restrict or terminate your access to all or any portion of the Service, remove your information from the waitlist, or revoke any Designation, without liability to you or any third party. Upon any termination, all licenses and rights granted to you hereunder shall immediately cease. Sections 3(c), 4, 5, and 7 through 16, and any other provisions which by their nature are intended to survive, shall survive any termination or expiration of these Terms.
14. Changes to These Terms
RigX reserves the right, in its sole discretion, to modify or replace these Terms at any time. Modified Terms shall become effective upon posting to the Service, as indicated by the "Last updated" date above, except that RigX will provide notice of material changes to waitlist members by email or by other reasonable means before such changes take effect. Your continued access to or use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. Any modification to Section 12 shall not apply to any Dispute of which RigX had actual notice prior to the effective date of such modification.
15. Miscellaneous
(a) Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and RigX with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations and warranties, whether written or oral.
(b) Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect, except as otherwise provided in Section 12(d).
(c) No Waiver. No failure or delay by RigX in exercising any right or remedy shall operate as a waiver thereof, and no waiver shall be effective unless in writing and signed by RigX.
(d) Assignment. You may not assign, delegate or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of RigX, and any attempted assignment in violation hereof shall be null and void. RigX may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with any merger, acquisition, reorganization or sale of assets.
(e) Force Majeure. RigX shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
(f) Interpretation. Section headings are for convenience only and shall have no legal effect. The words "including" and "include" shall be deemed to be followed by "without limitation."
(g) Electronic Communications. You consent to receive communications from RigX electronically and agree that all agreements, notices, disclosures and other communications provided electronically satisfy any legal requirement that such communications be in writing.
